Terms & Conditions

The terms that govern the Nveloop website, our subscription products and our software licences.

1. These terms

These terms govern your use of the Nveloop website and, where you subscribe or purchase a licence, your use of Nveloop software. Where you have signed a separate written agreement with us, that agreement takes precedence over these terms wherever the two conflict.

2. Our services

Nveloop supplies the Gem Merchant System, Gem ERP and custom gem software, the Gem Lab Management System, and gem and jewelry websites and e-commerce stores. Subscription products are supplied on a monthly or yearly basis; Gem ERP is supplied under a one-time licence on terms set out in your quotation.

3. Accounts and access

You are responsible for keeping login credentials confidential and for activity carried out under your accounts. Each subscription tier includes a stated number of users; credentials must not be shared beyond that number. Tell us immediately if you believe an account has been compromised.

4. Fees and payment

Published prices are in US dollars and exclude any taxes or duties applicable in your country. Subscription fees are payable in advance for the period chosen. Yearly plans are billed at the discounted rate shown at the time of purchase. Late payment may result in suspension of access after reasonable notice.

5. Your data

You retain all rights in the data you enter into our software. You grant us the limited right to host and process it for the purpose of providing the service. You are responsible for ensuring you are entitled to hold the information you enter, including any personal information about your own customers.

6. Acceptable use

You agree not to use our software or website to break the law, to infringe anyone's rights, to attempt to gain unauthorised access to our systems or those of other customers, to reverse engineer or copy our software, or to resell access without our written agreement.

7. Availability and support

We aim to keep hosted services available continuously, but we do not guarantee uninterrupted availability. Planned maintenance is notified in advance where reasonably possible. Support is provided by email, telephone and WhatsApp during business hours, and training is provided as described in your plan.

8. Intellectual property

All rights in the Nveloop software, website, designs, documentation and branding remain ours. A subscription grants a non-exclusive, non-transferable right to use the software for your business for the duration of the subscription. A Gem ERP licence grants the rights set out in that licence and no others.

9. Third-party services

Our products may connect to third-party services such as payment gateways, e-commerce platforms and hosting providers. Your use of those services is governed by their own terms, and we are not responsible for their acts or omissions.

10. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data, and our total liability in any twelve-month period is limited to the fees you paid us in that period. You are responsible for maintaining your own commercial records and for verifying figures before relying on them for tax, valuation or trading decisions.

11. Termination

You may cancel a subscription at the end of the current billing period. We may suspend or terminate access for material breach of these terms, or for non-payment after reasonable notice. On termination you may request an export of your data within 30 days.

12. Governing law

These terms are governed by the law of Sri Lanka, and the courts of Sri Lanka have exclusive jurisdiction, except where mandatory local law in your country provides otherwise.
